1. Acceptance of Terms

By accessing or using SEO AI Agent ("the Service"), operated by seo-ai.biz ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and SEO AI Agent. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

SEO AI Agent is an AI-powered SEO platform designed for WordPress websites. The Service provides the following capabilities:

• Automated website crawling and content analysis
• Google Search Console data analysis and reporting
• AI-driven content strategy generation with topical clustering
• AI article writing with a 7-step quality validation pipeline
• Direct WordPress publishing (drafts and published posts)
• Internal link suggestions and optimization
• GEO (Generative Engine Optimization) audits for AI search readiness
• Declining page detection and content improvement recommendations
• Keyword cannibalization detection
• WooCommerce product intelligence and e-commerce SEO

3. Account Registration

• You must provide accurate, complete, and current information during registration.
• Each individual may maintain only one account. Multiple accounts for the same person are not permitted.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You must be at least 16 years of age to create an account and use the Service.
• You must notify us immediately of any unauthorized use of your account.

4. Subscription Plans & Billing

The Service is offered in three tiers: Free, Pro, and Agency. Each tier has different feature limits and capabilities as described on our pricing page.

• All paid subscriptions are billed through Stripe, our secure payment processor.
• Subscriptions auto-renew at the end of each billing period (monthly or annually) unless cancelled.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• Refund policy: Annual plans are eligible for a pro-rated refund if cancelled within 14 days of purchase or renewal. Monthly plans are not eligible for refunds.
• We reserve the right to change pricing with 30 days advance notice. Existing subscriptions are honored at their current rate until the next renewal.

5. Fair Use & Rate Limits

Each subscription plan includes specific limits on article generation, API calls, and other resources. These limits are enforced to ensure fair access for all users. Attempting to circumvent rate limits through automation, multiple accounts, or other means is a violation of these Terms and may result in account suspension or termination.

6. Acceptable Use

You agree not to use the Service to:

• Generate spam content or content designed to manipulate search engines through deceptive practices
• Employ black-hat SEO techniques including hidden text, cloaking, link schemes, or keyword stuffing
• Create malicious, illegal, defamatory, or harmful content
• Attempt to circumvent rate limits, usage restrictions, or security measures
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service in any way that violates applicable laws or regulations

7. AI-Generated Content

• You own all content generated by the Service on your behalf. We retain no intellectual property rights over your generated content.
• AI-generated content is provided "as-is." While our 7-step pipeline validates quality, we cannot guarantee that content will be free of errors or inaccuracies.
• We do not guarantee that AI-generated content will achieve specific search rankings or traffic results.
• You are responsible for reviewing all generated content before publishing to your website.
• AI may produce information that is inaccurate, incomplete, or outdated. You should verify factual claims independently.

8. WordPress Integration

• You voluntarily grant API access to your WordPress site by providing your site URL and API credentials.
• All WordPress credentials are stored encrypted using Fernet symmetric encryption and are never stored in plaintext.
• We use your WordPress API access only for authorized actions: reading existing content (pages, posts, categories) and publishing drafts or posts that you have approved.
• You can revoke WordPress access at any time by removing the API credentials from your account settings or by regenerating your WordPress application passwords.

9. Google Search Console Integration

• We request only read-only access (webmasters.readonly scope) to your Google Search Console data.
• Google Search Console data is used solely for SEO analysis, strategy generation, and content recommendations within the Service.
• You can disconnect Google Search Console at any time through your Google Account permissions (https://myaccount.google.com/permissions) or from within the application.
• Please refer to our Privacy Policy for detailed information about how we handle Google user data, including our compliance with the Google API Services User Data Policy.

10. Intellectual Property

The Service, including its algorithms, user interface, design, code, documentation, and all associated intellectual property, is owned by SEO AI Agent and protected by applicable intellectual property laws. Your content — including articles, strategies, and data you provide — remains your property. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service. This license terminates when you delete your account.

11. Limitation of Liability

To the maximum extent permitted by applicable law, SEO AI Agent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for all claims related to the Service shall not exceed the total fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL ACHIEVE SPECIFIC SEARCH ENGINE RANKINGS, TRAFFIC INCREASES, OR BUSINESS OUTCOMES. SEO RESULTS DEPEND ON MANY FACTORS OUTSIDE OUR CONTROL.

13. Service Availability

• We target 99.9% uptime for the Service but do not guarantee uninterrupted availability.
• Scheduled maintenance will be communicated in advance whenever possible.
• We are not liable for service interruptions caused by force majeure events, including but not limited to natural disasters, government actions, power outages, internet disruptions, or third-party service failures.

14. Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to GDPR compliance and protecting your personal data. 15. Termination

• We may suspend or terminate your account if you violate these Terms, with notice where feasible.
• You may cancel your account at any time through the application settings.
• Upon cancellation or termination, your data remains accessible for 30 days. During this period, you may export your data. After 30 days, all data is permanently deleted.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania and the European Union, without regard to conflict of law provisions. Where EU regulations (including GDPR) provide greater protection, those regulations shall prevail.

17. Dispute Resolution

Any disputes arising from or related to these Terms or the Service shall first be resolved through good faith negotiation between the parties. If a dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to the competent courts of Romania.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. All remaining provisions shall continue in full force and effect.

19. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days advance notice via email. Non-material changes may be posted directly. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree with the changes, you must discontinue use of the Service.
